
TERMS AND CONDITIONS GOVERNING Y2K CERTIFICATION
This agreement is made and entered into by and between you and Y2K Crisis Control (hereinafter called "Y2K") with respect to and in connection with the certification of your computer system(s) specified in the attached Request for Certification Form (hereinafter called "RCF") for Year 2000 Compliance (hereinafter called "Service").
Article 1. DEFINITION
The term "Year 2000 Compliance" according to British Standards Institution (BSI) committee BDD/1/-/3 shall mean that neither performance nor functionality is affected by dates prior to, during and after the year 2000. In particular:
Rule 1. No value for current date will cause any interruption in operation.
Rule 2. Date-based functionality must behave consistently for dates prior to, during and after year 2000.
Rule 3. In all interfaces and data storage, the century in any date must be specified either explicitly or by unambiguous algorithms or inferencing rules.
Rule 4. Year 2000 must be recognized as a leap year.
Article 2. SCOPE OF SERVICE
The entire certification process requires your computer system(s), as specified in Part 1 of the RCF, to be examined in 2 stages:
1. Evaluation. Involves checking of individual system in 2 aspects:
1.1. Hardware · Verify if BIOS is Motorola MC146818 compatible
· Verify if progression from December 31st, 1999 to January 1st, 2000 occurs via the BIOS without user intervention or rebooting the system (Real-Time Progression).
· If real-time progression fails, verify if manual setting of (21st) century is supported.
· Verify the recognition of a leap year, when appropriate, for the years 2000 through 2009 inclusive.
1.2. Software · Examine if residential software within the system are Year 2000 Compliant. This is achieved by verifying with the original software providers of their product compliance status. Y2K shall not be liable for the accuracy of such information provided.
2. Planning, Implementation and Control (hereinafter called "PIC"). After receiving the Evaluation Report, you may decide if you wish to proceed to this stage, and the system(s) involved, to be specified in Part 2 of the RCF. In the report, we shall provide (if applicable) options and recommendations, for your system(s) to achieve Year 2000 Conformity.
Article 3. AUTHORISATION AND RESTRICTIONS
1. Y2K shall be granted access to the computer system(s) specified in the RCF and for the purpose of the Service only.
2. Y2K shall not reproduce, distribute, lend or transfer any data from your system(s) to any third party.
Article 4. THIRD PARTY HARDWARE/SOFTWARE
In the event if any third party hardware, component, driver, program, patch and/or update is needed for your system(s) during the Service process, at the sole discretion of Y2K, this product is provided "AS IS" and Y2K disclaim any warranty with respect to this product and makes no guarantee that the product is uninterrupted and error-free.
Article 5. TERMINATION
The certification will void automatically (1) if any modifications are made to the system(s) by you during or after evaluation and/or (2) if the system is used on or in conjunction with hardware or software other than the unmodified version after evaluation. In the event, you shall furnish all payment in arrears (if any) for the Service rendered to that point.
Article 6. NO WARRANTY
To the maximum extent permitted by applicable law, Y2K CRISIS CONTROL makes no warranties, either express or implied, with respect to the Service and/or associated materials provided to the user, including but not limited to any warranty of merchantability, fitness for a particular purpose. Y2K does not warrant that the Service rendered will meet your requirements, or that the operation of your system(s) will be uninterrupted or error-free, or that defects in the hardware/software will be corrected. Furthermore, Y2K does not warrant or make any representations regarding the use or the results of the use of the Service or any documentation provided therewith in terms of their correctness, accuracy, reliability, or otherwise. No oral or written information or advice given by Y2K or a Y2K authorized representative shall create a warranty or in any way increase the scope of this warranty.
Article 7. DISCLAIMER OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall Y2K be liable to you or to any other party for any claims, demands or actions whatsoever arising out of or based on or related to the use or inability to use the Service or any part thereof, or any damages whatsoever (including property damage, personal injury, intellectual property infringement, loss of business information or data, computer failure or malfunction, loss of profits, interruption of business or any other percuniary loss, whether direct, indirect, incidental, special, consequential or exemplary) resulting therefrom. The Service is provided to you at your own risk and for your sole benefit and for no other party. You shall indemnify and hold Y2K harmless from and against any and all claims, demands, liabilities, costs, losses and expenses of every kind and nature whatsoever arising out of or in connection with the use or inability to use the Service.
